Terms of Service

Welcome to CoolChop. These Terms of Service ("Terms") govern your use of the CoolChop mobile applications (CoolChop, CoolChop Partner, and CoolChop Rider) and the website coolchop.crosstechghana.com (collectively, the "Services"), operated by Cross Technologies ("we," "our," or "us").
By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Eligibility
- You must be at least 18 years old to use our Services.
- You must have a valid phone number to create an account.
- If you register as a vendor or rider, you must meet all applicable legal requirements for operating a food business or performing delivery services in your jurisdiction.
2. Account Registration
- You will register using your phone number via Firebase Phone OTP verification. You are responsible for maintaining the security of your account.
- You agree to provide accurate and complete information during registration and to update it as necessary.
- You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorised access.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Services Description
3.1 For Customers
CoolChop provides a platform to browse local restaurants, place food orders, make payments, and receive delivery to your specified address. We act as an intermediary between you and the restaurant vendors and delivery riders.
3.2 For Vendors (Restaurant Partners)
CoolChop Partner allows restaurant owners to list their restaurants and menus, receive and manage orders, and reach customers in their area. Vendors must complete a verification process including KYC document submission and admin approval before becoming active on the platform.
3.3 For Riders (Delivery Partners)
CoolChop Rider enables delivery riders to accept delivery assignments, navigate to pickup and drop-off locations, and earn money per delivery. Riders must complete a verification process including KYC document submission, recruiter review, and training before becoming active.
4. Orders and Payments
4.1 Placing Orders
- When you place an order, you are making an offer to purchase items from a restaurant vendor at the listed price, plus any applicable delivery fees.
- Prices are set by the restaurant vendor and may change at any time without notice.
- An order is confirmed once payment is successfully processed.
4.2 Payments
- Payments are processed through Paystack and/or MTN Mobile Money. By making a payment, you agree to the respective payment provider's terms.
- All prices displayed include applicable taxes unless otherwise stated.
- You agree to pay the total amount shown at checkout, including food cost, delivery fee, and any applicable service charges.
4.3 Cancellations and Refunds
- You may cancel an order before the restaurant has begun preparing it (while the order status is "Created").
- Once an order is being prepared, cancellations are at the discretion of the restaurant vendor and CoolChop.
- Refunds, if applicable, will be processed through the original payment method and may take 5โ10 business days.
- CoolChop reserves the right to issue refunds or credits at its sole discretion for orders that are not delivered, significantly delayed, or materially different from what was ordered.
5. Vendor Terms
- Vendors are independent businesses, not employees or agents of CoolChop.
- Vendors are responsible for the quality, safety, and accuracy of the food they prepare and list on the platform.
- Vendors must comply with all applicable food safety laws and regulations in their jurisdiction.
- Vendors must keep their menu information, pricing, and restaurant operating hours accurate and up to date.
- CoolChop charges a service fee on each completed order as outlined in the vendor agreement.
- Payouts are made to the vendor's registered mobile money account on a regular schedule.
6. Rider Terms
- Riders are independent contractors, not employees of CoolChop.
- Riders must maintain a valid driver's licence and any required permits for their vehicle type.
- Riders must handle food orders with care and deliver them in a timely manner.
- Riders earn per-delivery fees, which are credited to their in-app wallet. Payouts are processed to the rider's registered bank or mobile money account.
- Riders may be suspended or deactivated for low acceptance rates, high cancellation rates, poor ratings, fraud, or violation of these Terms.
- Riders must maintain their availability status accurately โ only go online when ready to accept deliveries.
7. User Conduct
You agree not to:
- Use the Services for any illegal or unauthorized purpose.
- Provide false, misleading, or inaccurate information.
- Harass, abuse, or threaten other users, vendors, riders, or CoolChop staff.
- Attempt to circumvent payment, manipulate pricing, or commit fraud.
- Use automated systems, bots, or scraping tools to access the Services.
- Reverse engineer, decompile, or disassemble any part of our applications or API.
- Create multiple accounts for fraudulent purposes.
- Use fake GPS or location-spoofing tools (riders).
8. Intellectual Property
- The CoolChop name, logo, and all associated branding, designs, software, and content are the intellectual property of CoolChop and are protected by applicable copyright, trademark, and other intellectual property laws.
- You may not copy, modify, distribute, or create derivative works from our Services without our express written permission.
- Content you submit (reviews, photos, etc.) remains yours, but you grant CoolChop a non-exclusive, royalty-free licence to use, display, and distribute it in connection with the Services.
9. Location Services
- Our Services rely on location data to function effectively. By using the Services, you consent to the collection and use of your location as described in our Privacy Policy.
- Riders must enable location services while online and during active deliveries.
- You may disable location services at any time, but this may limit the functionality of the Services.
10. Disclaimers
- CoolChop acts as a technology platform connecting customers, restaurants, and riders. We are not a restaurant, food manufacturer, or delivery company.
- We do not guarantee the quality, safety, legality, or availability of any food item or restaurant listed on the platform.
- We do not guarantee delivery times. Estimated delivery times are approximations and may vary based on demand, traffic, weather, and other factors.
- The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
11. Limitation of Liability
To the maximum extent permitted by law, Cross Technologies and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Services.
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you paid to CoolChop in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Cross Technologies and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
13. Account Termination
- You may delete your account at any time through the app or by contacting support.
- We may suspend or terminate your account at our discretion if we believe you have violated these Terms, engaged in fraud, or pose a risk to the platform.
- Upon termination, any outstanding payments owed to you (vendors and riders) will be processed within 30 business days, minus any applicable fees or chargebacks.
14. Dispute Resolution
- Any disputes arising from these Terms or your use of the Services will first be attempted to be resolved through good-faith negotiation.
- If a dispute cannot be resolved amicably, it shall be submitted to binding arbitration in Accra, Ghana, under the rules of the Ghana Arbitration Centre.
- These Terms are governed by the laws of the Republic of Ghana.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via push notification and/or email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
